CORPORATION AND PARTNERSHIP LAW
The Firm provides a wide spectrum of services for the incorporation, merger, liquidation or reorganization of profit and not-for-profit domestic, foreign and off-shore corporations; preparation of shareholder and partnership agreements; formation of general and limited partnerships; Florida limited companies; fictitious names and trademark registrations. We also assist clients with annual Florida reporting requirements, and periodic reports to federal agencies such as the Securities Exchange Commission (S.E.C.).
ADMINISTRATIVE AGENCIES
We offer comprehensive representation before federal, state and local governmental regulatory agencies including: the Internal Revenue Service, S.E.C., Environmental Protection Agency, the Army Corp. Of Engineers, Florida Department of Professional Regulation, Florida Department of Revenue, county and city commissions throughout the State of Florida, planning and zoning boards and Value Adjustment Boards.
TAXATION
The Firm is involved in the preparation and qualification of employee benefit plans, income tax planning, foreign taxation, family limited partnerships, Florida intangible and other state tax issues, and corporate and partnership structuring for federal tax consequences.
PROBATE ADMINISTRATION, WILLS, TRUSTS, ESTATE PLANNING AND TAXATION
Services rendered include the preparation of wills, trusts, durable family powers of attorney, living wills, administration of Florida probate estates, ancillary (Florida) administration of foreign estates, and post mortem estate planning. We also provide thorough representation in the negotiating and preparation of pre and post marital agreements, representation in establishing Florida domicile and the evaluation of tax considerations, guardianships and conservatorships, and the establishment of private foundations and charitable trusts.
LITIGATION/APPELLATE PRACTICE
Our Litigation Department has extensive experience in real estate, commercial, contractual, landlord/tenant, probate, construction lien, foreclosure, and many other areas of commercial litigation. In order to offer full support for complex litigation matters, the Firm's expertise and technology includes a full-time paralegal staff, computerized legal research and document control.
The Firm also litigates certain matters involving product defect claims and other torts resulting in personal injury or property damage -- and we arbitrate before the NASD, the American Arbitration Association, and other alternative dispute resolution agencies. In matters of appellate practice, the Firm is involved in representation in state and federal courts of appeals within Florida.
CONSTRUCTION LIEN LAW
The Firm provides assistance to clients with respect to preparation and filing of notices of commencement, notices to owners, claims of lien, contractors' affidavits, bonding requirements, foreclosure of and defense to claims of lien.
